Global Vision Technologies — Terms & Conditions

Welcome to Global Vision Technologies, Inc. (“GVT”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the FAMCare® Rapid Case Management Platform, Visions 2.0 configuration engine, Pathways workflow builder, ClinicalPURSUIT CTMS and related services, websites, training portals, content, and materials (collectively, the “Services”).
By accessing or using the Services, you (“Customer”, “you”, or “your”) agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind such entity.
If you do not agree to these Terms, you may not access or use the Services.
1. Definitions
- “Agreement” means these Terms and any referenced documents, including an executed Subscription Agreement, Order Form, Statement of Work (SOW), or Business Associate Agreement (BAA).
- “Customer Data” means all information, records, files, or content entered or uploaded into the Services by Customer or on Customer’s behalf.
- “Authorized Users” means individuals permitted by Customer to access the Services.
- “Subscription Term” means the initial and any renewal periods during which the Customer has licensed the Services.
- “Documentation” means user guides, manuals, training materials, and technical instructions provided by GVT.
2. Access to the Services
2.1 Provision of Access
Upon payment of applicable fees, GVT grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for internal business operations.
2.2 User Accounts
Customer is responsible for:
- maintaining the confidentiality of login credentials,
- ensuring only Authorized Users access the Services, and
- all activities under its accounts.
2.3 Restrictions
Customer shall not:
- copy, modify, or create derivative works of the Services;
- reverse engineer or attempt to extract the source code;
- use the Services for competitive analysis or to build a competing product;
- interfere with or disrupt system performance or security.
3. Customer Data & Privacy
3.1 Ownership
Customer retains full ownership of all Customer Data. GVT does not own, sell, or use Customer Data except to provide the Services or as required by law.
3.2 Data Security
GVT maintains industry-standard administrative, physical, and technical safeguards, including:
- SOC 2 Type II–aligned practices,
- HIPAA compliance,
- TX-RAMP Level 2 certification (where applicable),
- encryption in transit and at rest through Microsoft Azure cloud services,
- MFA authentication,
- secure Azure cloud hosting and H5 Nashville co-location for disaster recovery.
3.3 Protected Health Information (PHI)
Where PHI is processed, a Business Associate Agreement (BAA) will govern GVT’s handling of such data.
3.4 Data Extraction
Upon termination and written request, GVT will provide a backup of Customer Data in SQL format for a standard fee unless otherwise stated in the governing Subscription Agreement.
4. Customer Responsibilities
Customer agrees to:
- use the Services in compliance with all applicable laws, including HIPAA, GDPR/DPF, CJIS (if applicable), and local privacy regulations;
- ensure proper training of Authorized Users;
- maintain and manage its own internet connectivity and equipment;
- refrain from uploading harmful or malicious content.
5. Fees & Payment
5.1 Fees
Fees for subscriptions, hosting, training, configuration, professional services, or custom development are defined in the applicable Subscription Agreement or invoice.
5.2 Payment Terms
Unless otherwise stated, all fees are due upon receipt. License fees paid upfront are refundable only if the Agreement is canceled within the first thirty (30) days of the contract start date. After this period, GVT does not provide refunds.
5.3 Late Payments
GVT may suspend access for non-payment after reasonable notice.
6. Support, Maintenance & Updates
6.1 Support Availability
GVT provides technical support through phone, email, and support portal during standard business hours.
6.2 Service Availability
GVT strives to maintain continuous uptime outside planned maintenance windows. Disaster recovery includes incremental backups every three hours and redundant failover locations.
6.3 Updates & Enhancements
GVT regularly provides security patches, enhancements, and version updates. New modules or major features may require additional licensing.
7. Custom Development
Any development beyond standard configuration is considered custom development and billed at GVT’s standard hourly rate. Custom features do not transfer ownership of the underlying codebase.
8. Acceptable Use Policy
Customer agrees not to:
- misuse the Services or attempt unauthorized access;
- transmit harmful code, malware, or perform penetration attempts without written authorization;
- use the Services to store illegal content or violate privacy regulations;
- share login credentials across multiple individuals.
Violations may result in suspension or termination.
9. Intellectual Property Rights
All intellectual property in FAMCare®, Visions 2.0, Pathways, ClincalPURSUIT, templates, workflows, documentation, and related technology is owned exclusively by GVT. No rights are granted except those expressly stated.
10. Confidentiality
Both parties agree to maintain strict confidentiality of proprietary information, including source code, business processes, security details, pricing, and Customer Data.
11. Warranties & Disclaimers
GVT warrants that:
- it will provide the Services using reasonable skill and care,
- the Services will perform substantially as described in the Documentation,
- it will maintain commercially reasonable security practices.
Disclaimer:
Except as expressly stated, the Services are provided “AS IS.” GVT disclaims all implied warranties, including fitness for a particular purpose.
12. Limitation of Liability
To the maximum extent permitted by law:
- GVT’s liability for any claim is limited to the fees paid by Customer in the preceding twelve (12) months.
- GVT is not liable for indirect, incidental, special, or consequential damages, including lost profits, data loss (except due to negligence), or business interruption.
13. Term, Renewal & Termination
13.1 Term
The Agreement begins upon the Effective Date and continues for the Subscription Term.
13.2 Automatic Renewal
Subscriptions renew automatically unless either party provides written notice at least 30 days prior to expiration.
13.3 Termination for Cause
Either party may terminate for a material breach not cured within 30 days.
13.4 Effect of Termination
Upon termination:
- Customer access will be disabled,
- Data will be retained for a limited period for extraction,
- Outstanding fees remain due.
14. Governing Law
These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles.
15. Changes to These Terms
GVT may update these Terms from time to time. Updated Terms will be posted on the website with a “Last Updated” date. Continued use of the Services constitutes acceptance of the updated Terms.
